Terms of Service
The terms that apply when you engage BrainWeb Ltd for design, build, hosting, or Grow services.
Last updated: DRAFT, not yet published.
Who these terms apply to
These terms apply to any client engaging BrainWeb Ltd (company number 10361227, "BrainWeb", "we", "us") for web design, development, hosting, or Grow services ("services"). By approving a quote or proposal, you agree to these terms.
Quotes and agreeing a project
Project work is quoted in writing with a fixed price and scope before work begins. Once you approve a quote, the price is locked for the agreed scope; work outside that scope is quoted separately.
Payment
Project work is typically invoiced 50% upfront and 50% on completion, unless otherwise agreed in writing. Ongoing services (hosting, Grow retainers) are billed monthly in advance, on a rolling basis with no long tie-in. Invoices are due within the period stated on the invoice; we reserve the right to pause work or services on significantly overdue accounts.
Your responsibilities
You are responsible for providing the assets, content, decisions, and approvals we ask for in good time. Delays in providing these may affect the project timeline.
Intellectual property
Until final payment is received in full, all design and development work remains the property of BrainWeb. On full and final payment, ownership of the bespoke work created for you (excluding our own tools, frameworks, and any third-party licensed components) transfers to you.
Hosting and ongoing services
Hosting, email, and Grow services are provided on a rolling monthly basis. Either party may cancel with reasonable written notice; on cancellation, we will help transfer your site and data to a new provider.
Liability
We will carry out services with reasonable care and skill. Except in cases of death, personal injury, or fraud, our total liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim, and we are not liable for indirect or consequential loss.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement.
Governing law
These terms are governed by the law of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to these terms
We may update these terms from time to time; the version in force for a project is the one current when the quote was approved.
